Terms of Service

1. Agreement

These terms govern access to and use of MigrationHQ ("the Service"), provided by riiLogic ("we", "us"). By creating an account or using the Service you agree to these terms on behalf of yourself and, where applicable, the organisation you represent. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it. If you have a separately negotiated agreement with us, that agreement prevails over these terms where they conflict.

2. The Service

MigrationHQ is an enterprise identity migration platform for Active Directory to Active Directory and Active Directory to Microsoft Entra ID migrations. The Service includes the web platform at app.riilogic.com and the MigrationHQ Agent software you install in your environments to perform migration operations you initiate.

3. Trials

Trial workspaces are free for 14 days and limited (including a cap on migrated identities and concurrent migration waves). At the end of a trial, the workspace moves to a limited planning-only mode unless a subscription is purchased. We may adjust trial limits to prevent abuse.

4. Accounts and acceptable use

You are responsible for your credentials, for the actions taken under your account, and for ensuring you have the right to connect the environments you migrate. You must not use the Service to access systems you are not authorised to access, attempt to circumvent security or usage limits, resell the Service without an agreement with us, or use it in violation of applicable law.

5. Your data

Your organisation owns its data. Directory and identity data processed during a migration is processed on your organisation's behalf and under its instructions, as described in our Privacy Policy. We take no ownership of customer data, and we design the Service so that synchronised user passwords are never visible to us. You are responsible for having the necessary rights and notices in place to process your users' data through the Service.

6. Subscriptions and payment

Paid plans are annual subscriptions, supplemented by prepaid identity credits and optional add-ons. Payments are processed by Stripe. Fees are exclusive of taxes unless stated otherwise. Except where required by law or expressly agreed, fees are non-refundable.

7. Availability and support

We work to keep the Service available and performant, but it is provided "as is" and "as available" — migrations depend on the health and configuration of your own environments, which we do not control. Planned maintenance and updates may cause brief interruptions. Support terms depend on your plan.

8. Intellectual property

We own the Service, the MigrationHQ Agent, and everything that makes them work. You receive a limited, non-exclusive, non-transferable right to use them for your organisation's migrations while your subscription (or trial) is active. Feedback you give us may be used to improve the Service without obligation.

9. Liability

To the maximum extent permitted by law: we are not liable for indirect or consequential losses, loss of profits, or loss of data caused by factors outside our reasonable control; and our total aggregate liability arising from the Service in any 12-month period is limited to the fees you paid for the Service in that period. Nothing in these terms excludes liability that cannot lawfully be excluded.

Migrations are consequential operations. The Service provides readiness checks, governance gates, and audit trails, but you remain responsible for reviewing and approving migration actions before executing them.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required for security or legal reasons. On termination we will, on request and within a reasonable period, make your data available for export before deletion, subject to legal retention requirements.

11. Changes

We may update these terms as the Service evolves. Material changes will be notified in the product or by email, and the date above will be revised. Continued use after changes take effect constitutes acceptance.
